The Website provides information about our company and the products and services we offer. By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.

Any purchase made through this Website is governed by the Sales & Commercial Terms set out in Section B below.

All content on the Website, including but not limited to text, images, graphics, logos, trademarks, designs, photographs, videos, and other intellectual property, is the exclusive property of Ludomed Equipment Inc. or its licensors. No license or right is granted except as expressly stated herein.

References to animal breeds, telemetry systems, infusion equipment, or third-party products are used solely to indicate compatibility and do not imply endorsement, authorization, or approval by third parties.

3. Disclaimer of Website Content

Ludomed reserves the right to modify these Terms & Conditions at any time. Changes take effect upon posting on the Website. Continued use of the Website constitutes acceptance of the modified Terms.

6. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Province of Québec, Canada, without regard to conflict-of-laws principles. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Québec.

B. SALES & COMMERCIAL TERMS (ONLINE ORDERS)

7. Prices & Currency

All prices displayed on the Website and in quotations are expressed in United States Dollars (USD), unless otherwise stated. Prices are subject to change without notice. A minimum order value of USD 75 may apply.

8. Shipping, Incoterms & Risk Transfer

All sales are made FCA Grand-Remous, Québec, Canada (Incoterms® 2020), unless otherwise expressly stated in writing. Shipping and handling charges arranged by Ludomed are shown on the order or invoice.

Orders are typically shipped using FedEx, Canada Post, or USPS, unless otherwise agreed. Customers may request shipment using their own courier account.

Risk of loss or damage transfers to the customer upon handover of the goods to the carrier.

9. Customs, Duties & Regulatory Compliance

International shipments may be subject to customs duties, taxes, brokerage fees, permits, or other charges imposed by the destination country. All such charges and compliance obligations are the responsibility of the customer or distributor.

Ludomed is not responsible for delays, refusals, seizures, or additional costs resulting from customs or regulatory authorities.

10. Backorders

If an item is on backorder for fewer than three (3) business days, the order may be held until it ships in full. If the delay exceeds three (3) business days, Ludomed will contact the customer to confirm whether to wait or cancel the affected item.

11. Payment Terms

Accepted payment methods include Visa, MasterCard, American Express, and PayPal. Net 30 payment terms may be granted to approved customers with established credit only. Ludomed reserves the right to require prepayment for new customers, custom orders, or international transactions.

12. Claims, Damage & Loss

Claims for manufacturing defects must be reported in writing within five (5) business days of receipt. Defective products may be repaired, replaced, or refunded after inspection, at Ludomed’s discretion.

Any loss, damage, or delay occurring after shipment must be claimed directly with the carrier.

13. Returns & Cancellations

Due to the specialized and often custom-made nature of Ludomed products, all sales are final, unless otherwise expressly agreed in writing.

Custom-made, modified, or personalized products are non-returnable and non-refundable. Non-defective returns may be accepted only with prior written authorization and are subject to a restocking fee of up to 20%. Returns must be requested within 30 days of delivery. Unauthorized returns will not be accepted.

14. Warranty & Limitation of Liability

Products are warranted to be free from manufacturing defects at the time of shipment. This warranty excludes normal wear, misuse, improper handling, transit damage, or modifications not performed by Ludomed.

Ludomed’s total liability is limited, at its option, to repair, replacement, or refund of the affected product. Ludomed shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or project delays.

15. Intended Use & Legal Disclaimer

Ludomed products are designed exclusively for research, laboratory, veterinary, and preclinical applications by trained professionals. Products are not intended for human use, clinical diagnosis, or treatment unless expressly stated in writing.

The customer is solely responsible for determining the suitability of the products for their specific application, protocol, species, and regulatory environment. Ludomed makes no representations or warranties regarding regulatory approval outside the scope expressly stated.

16. Acceptance of Terms

By placing an order through this Website, the customer acknowledges and agrees to be bound by these Sales & Commercial Terms.
